Compliance

On December 2, 2004, the board of directors of Arysta LifeScience Corporation (the "Board") adopted a code of conduct and directed management to implement a comprehensive compliance program for Arysta LifeScience Corporation and its subsidiary companies( together, "Arysta" or the "Company"). On December 8, 2010, the board adopted this revised and updated Code of Conduct (sometimes referred to as the "Code") and directed management to continue to update and harmonize the company's compliance policies in order to incorporate current best practices throughout the Arysta organization.

Arysta LifeScience Pakistan rolled out the Code of Conduct to the entire workforce in Pakistan in Q1-2011. The roll out sessions were conducted by the external consultants to ensure that the relevant messages relating to the code are delivered with full clarity and transparency with no dilutions.

Our people are responsible to carry out all business matters with integrity and in full accordance with the law. It is a must to demonstrate high standards of ethics and responsibility at Arysta LifeScience and deviations from how things need to be done are taken extremely seriously across the organization.

In order for the Company to achieve compliance and consistently high ethical standards, each Arysta employee, officer, and director must maintain consistently ethical business practices, including compliance with all applicable laws. All employees, officers and directors (collectively) referred to as "employees") and other representatives of Arysta must become familiar with and adhere to the letter and spirit of this code of conduct and of the policies and procedures adopted pursuant to it.

The members of the Arysta Group of companies have adopted this Code of Conduct, modified as necessary to comply with laws and cultural values applicable to each individual company which will continue to implement a compliance program consistent with the code. Arysta is committed to creating a corporate culture that reflects shared values while respecting and building on the diversity and synergies inherent in its global organization.
